General Terms and Conditions (GTC)

1. Definitions

"Account" means the account created by Client with iink to order and receive Services as set further detailed in Section 2.1.

"Affiliate" of a party means any legal entity in which a party, directly or indirectly, holds more than fifty percent (50%) of the entity’s shares or voting rights. Any legal entity will be considered an Affiliate as long as that interest is maintained.

"Agreement" means these General Client Terms and Conditions and documents incorporated into these General Client Terms and Conditions, including the Supplements, and the Website Terms of Use.

"Authorized User" means any individual to whom Client grants access authorization to use Client’s Account or otherwise uses the Service on Client’s behalf that is an employee, agent, contractor or representative of (a) Client, (b) Client's Affiliates, and/or (c) Clients and Client’s Affiliates’ Business Partners.

"Business Partner" means a legal entity that requires use of a Service in connection with Client’s and its Affiliates’ business operations. These may include clients, distributors, service providers and/or suppliers of Client.

"Confidential Information" means (a) with respect to Client: (i) the Client Data, and/or (ii) Client financial information, and (a) with respect to iink: (i) iink Customer Data; (ii) the Service, Materials and analyses under Section 3.5, and (iii) information regarding iink research and development, product offerings, pricing and availability. (b) Confidential Information of either iink or Client also includes information which the disclosing party protects against unrestricted disclosure to others that (i) the disclosing party or its representatives designates as confidential at the time of disclosure, or (ii) should reasonably be understood to be confidential given the nature of the information and the circumstances surrounding its disclosure.

"Client" is the business entity identified in the Account registration with iink.

"Client Customer Data" means Personal Information relating to Customer that Client collects directly from Customer for services Client provides Customer.

"Client Data" means any content, materials, data and information that Authorized Users enter into the production system of a Service or that Client creates and derives from its use of and stores in the Service (e.g. Client-specific reports). Client Customer Data and its derivatives will not include iink’s Confidential Information, iink’s content or intellectual property, and will not include iink Customer Data.

"Customer" means any individual: (i) to whom Client provides services as part of that individual’s insurance claim; (ii) to whom Client requests iink to offer Services; and (iii) who engages iink to provide Endorsement Services.

"Endorsement Services" are services iink offers and/or provides to Customer to facilitate Customer’s obtaining of requisite third-party endorsements on insurance claim checks in order for Customer to direct payment of some or all of those amounts to designated payees, which could include Client.

"iink" is iink Corp., a company duly organized and validly existing, located at 400 N. Ashley Dr. Ste. 2600-D, Tampa, Florida 33602.

"iink Customer Data" means any Personal Information relating to a Customer that a Customer provides directly to iink through any iink Services.

"Materials" mean any materials provided or developed by iink in the course of performance under the Agreement, including in the delivery of any support or Services to Client. Materials do not include the Client Data, Client Confidential Information or the Service.

"Personal Information" means any information that identifies, relates to, describes, is reasonably capable of being associated or could be reasonably linked, directly or indirectly, with a particular individual.

"Professional Requirements" means those licensing and other professional conditions and requirements that Client must meet in order to request and order Services from iink.

"Service" and "Services" means the services provided to Client by iink as detailed in the Service Supplements set forth in Section 2.4.

"Supplement" means the supplemental terms and conditions that apply to the Services and that are incorporated in these General Terms and Conditions as set forth in Section 2.4.

"Term" means the period starting when a Client opens an Account until that Account and/or this Agreement is terminated.

2. Usage Rights And Restrictions

In order to request and receive iink Services, Client must create an Account, meet Professional Requirements, and comply with this Agreement.

2.1 Client Account

When creating an Account, Client must provide the name of the individual who is the primary Client contact and the name of the person who is authorized to enter into the Agreement on Client’s behalf (if different), the email and telephone numbers for both individuals, the Client’s address, and other information related to the Client's business. Client will create a username and password for its Account. It is Client’s responsibility to keep its Account username and password secure. The Client may not assign or otherwise transfer their Account to any other person or entity who is not an Authorized User. iink is not responsible for third party access to or use of a Client Account that results from theft, misuse, or misappropriation of Client’s username or password. Client shall immediately notify iink if Client believes its username, email, or password was lost, stolen, disclosed to an unauthorized party, or otherwise used without its authorization.

Client acknowledges that, in addition to the use of an individual Username and Password, access to Client Account may include a multi-factor authentication security procedure at log-in. This additional security procedure involves a credential that is in addition to Username and Password security (hereinafter "Enhanced Log-in Security"). Enhanced Log-In Security uses a second factor of identity authentication that may include, but is not limited to, additional log-in security features such as identification and verification of IP addresses, registration of your Computer and/or use of browser cookies, access filters and other authentication information. Enhanced Log-In Security will require you to establish and utilize, in addition to a Username and Password, your own individual authentication through a one-time passcode via SMS text, voice call, and/or authentication application as part of a multi-part credential. These access credentials are used by iink to authenticate you. Further authentication may occur automatically due to the detection of unusual source occurrences in relation to your access credentials. If your one-time passcode is entered incorrectly on five (5) consecutive access attempts, your access to your Client Account may be blocked.

Client agrees to furnish factual, correct, current and complete information with regards to Client, Client Affiliates and Business Partners relating to its Account and/or the use of any Services. Client agrees to maintain and promptly update Client’s Account registration and profile information in order to maintain accuracy and completeness at all times.

If Client provides any false, untrue, inaccurate or incomplete information relating to its Account or Services, iink may suspend or terminate Client’s Account or Services.

2.2 Professional Requirements

Client must meet and comply with certain Professional Requirements in order to be able to request and obtain iink Services, including but not limited to: (i) having a current and valid professional license; (ii) maintaining business liability insurance; (iii) being in good standing with state and professional regulatory bodies or business bureaus; and (iv) providing a valid company tax identification information. Certain Services may have additional Professional Requirements as later specified.

2.3 Grant of Rights

During the Term and subject to Client’s compliance with the Agreement, iink grants to Client a non-exclusive, non-transferable and world-wide right to use the Services and Materials solely for Client’s and its Affiliates’ business operations. Permitted uses and restrictions of the Service also apply to the Materials.

The Services include all websites, mobile applications, and any other software provided by iink as part of providing the Services. For iink Professional and iink Payments, the completion of service is defined as mortgage company confirmation of any disbursements made in any amount. If a Mortgage Company loses a check before executing, signing, or providing confirmation of any disbursements, iink will charge a re-issuance fee to the client in the same amount as the initial iink Pro fee.  2.5 Authorized Users

Client may permit Authorized Users to use the Service. Access credentials for the Service may not be used by more than one individual but may be transferred from one individual to another if the original user is no longer permitted to use the Service. Client is responsible for all actions, including breach and misdirection of funds, relating to the Agreement of Authorized Users.

2.6 Acceptable Use Policy

Client will use the Service only as permitted by applicable law and exclusively for authorized purposes, consistent with this Agreement.

With respect to the Service, Client will not: (a) disassemble, decompile, reverse-engineer, copy, translate or make derivative works of the Services, (b) transmit any content or data that is unlawful or infringes any intellectual property rights, or circumvent or endanger its operation or security, or (c) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available any Services to any third party, other than to Business Partners who are part of the Services provided, (d) use the Services in any manner that violates applicable law, (e) use the Services to defraud or interfere with the rights or obligations of any third parties, including Customers, mortgage companies, insurers, financial institutions, or any Business Partners, (f) use the Services to impersonate or attempt to impersonate iink, an iink employee, any third parties, including any Clients, mortgage companies, insurers, and/or financial institutions, or any other customer or user or any other person or entity, (g) perform or attempt to perform any actions that could interfere with the proper operation of the Software or Service, prevent access to or use of the Software or Service by iink’s other licensees or users, or impose an unreasonable or disproportionately large load on iink’s infrastructure, (h) intentionally distribute malware, viruses, worms, Trojan horses, corrupted files, spyware, adware, or other items of a destructive or deceptive nature through the Service, (i) perform any fraudulent activity, including but not limited to impersonating any person or entity, claiming a false affiliation, accessing any other Service account without permission, or falsifying your information, (j) use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from any web pages contained in the Website, (k) transfer or assign the rights granted to You under this Agreement, or (l) otherwise use the Service except as expressly allowed under this Agreement.

2.7 Verification of Use

Client will monitor its own use of the Service and report any violations of the terms of the Agreement. iink may also monitor use to verify compliance with the Agreement.

2.8 Suspension of Service

iink, in its sole discretion, may suspend use of the Service if Client breaches any term of this Agreement or if continued use may result in material harm to the Service or its users. 

2.9 Third Party Web Services

The Service may include integrations with web services made available by third parties (other than iink or its Affiliates) that are accessed through the Service and subject to terms and conditions with those third parties. These third-party web services are not part of the Service and the Agreement does not apply to them.

2.10 Communications

Client understands that iink’s systems and processes are primarily web-based and mobile technology platforms. iink’s communications rely heavily on web messaging, email, texting, and sometimes phone or fax. Client understands that providing valid mobile numbers and email addresses for all parties will ensure the best communications experience with iink. iink will not be held liable for missed communications or notifications by any party or for any reason.

2.11 Website Terms of Use

As part of using the Services the Client may use the Website of iink, and the Client hereby agrees to all of the provisions in the Website terms of use at https://iink.com/terms/website-terms-of-use .

2.12 No Office of Foreign Assets Control (“OFAC”) Sanctions

Client represents and warrants that they and all users on their Account: (a) are not located in a country or location that is subject to U.S. Government sanctions or embargoes, (including but not limited to Iran, Syria, Cuba, North Korea, and the Crimea region of Ukraine, or are a State Sponsor of Terrorism as defined by the US Department of State); (b) are not a person, group or entity that has been designated by the U.S. Government as a Specially Designated National (SDN); (c) are not listed on any U.S. Government list of prohibited or restricted parties; and (d) will not use the Service to send money, either directly or indirectly, to a sanctioned country, person, group or entity.

2.13 Anti-Money Laundering (“AML”) and Know Your Customer (“KYC”) Requirements

To help the U.S. government fight the funding of terrorism and money laundering activities, federal and state law requires financial institutions, including those that partner with iink, to obtain, verify, and record information that identifies every customer.  As required by these laws and rules, iink will ask for your name, address, date of birth, social security number (SSN) and/or government identification number, and other information that will allow iink to identify the individual(s) that ultimately own or control your business (“ultimate beneficial owner(s)”).  iink may require other identifying documents, including but not limited to, your driver’s license and business related documents.  Iink and its partner banks reserve the right to refuse to allow any User, Client, Customer, or similar participant to use or participate in the Service if iink (or the bank) is unable to obtain or verify information relating to identity or financial condition, such as identifying information for your representatives or beneficial owners. Client represents and warrants that all information Client provides to iink is complete, truthful, accurate, and up-to-date. Client also agrees to provide updated information if such information changes during the term of service.

iink reserves the right to review or place on hold any Account or any payment requested or initiated, through the Service for any reason, including but not limited to credit and fraud risk or compliance with applicable laws (such as anti-money, laundering regulations, combating terrorist financing laws, OFAC sanctions and sanctions laws applicable in a country where you are located), for as long as reasonably necessary to conduct an appropriate inquiry regarding the payment.  iink also reserves the right to take any appropriate action, including canceling the payment, reversing the payment, or continuing to hold the payment pending instructions from a government agency or bank partner.

Client acknowledges that iink may make appropriate reports regarding your activities made through the Service, including but not limited to financial institutions, regulators, tax agencies and law enforcement authorities, and that iink and its partner banks will cooperate with the appropriate authorities in any resulting investigation or prosecution, all as required or permitted by law.

3. iink Responsibilities

3.1 Provisioning

iink provides access to the Service as described in the Agreement.

3.2 Support

iink provides support for the Service as referenced in the Support Terms found at https://iink.com/terms/general-client-terms-and-conditions.

3.3 Modifications

The Service may be modified by iink at any time. iink will use reasonable efforts to inform Client of modifications by email or by updating the Website or any of the Service Supplements. The information will be delivered by email if the modification is not solely an enhancement. Modifications may include features for the Service, which Client may use subject to the then-current Supplement.

3.4 Analyses

iink, or iink Affiliates may create analyses utilizing, in part, Client Data and information derived from Client’s use of the Service and may use any such analyses for its business purposes and/or to improve iink’s products and services. Analyses will anonymize and aggregate information and will be treated as Materials. Notwithstanding anything to the contrary set forth in this Agreement, Client shall retain ownership and intellectual property rights in and to the Client Data as set forth in the Agreement. Examples of how analyses may be used include: optimizing resources and support; research and development; automated processes that enable continuous improvement, performance optimization and development of new iink products and services; verification of security and data integrity; internal demand planning; and data products such as industry trends and developments, indices and anonymous benchmarking.

4. Data

4.1 Client Customer Data

Client owns and controls the Client Customer Data it collects from Customer relating to Client’s provision of its services to Customer. In requesting iink Services, Client will provide Client Customer Data, including Customer name and email address, to iink in order for iink to offer its Endorsement Services or other iink Services to Customer. Client will provide and is responsible for providing Customer all required and necessary notices and disclosures with respect to Client’s collection, use, handling, and disclosure of Client Customer Data, and in order to provide Client Customer Data to iink. Client grants to iink (including its Affiliates and subcontractors) a nonexclusive right to use and process Client Customer Data solely for offering Customer the Endorsement Services or other iink Services and to the extent necessary to provide and support the Service.

4.2 iink Customer Data

iink owns and controls the iink Customer Data it collects from Customer relating to iink’s provision of Services, including Endorsements Services, to Customer. Any Personal Information iink collects directly from Customer through iink’s platform or services shall constitute iink Customer Data. iink will provide Customer with applicable privacy policies and notices and will describe its privacy practices for collecting, using, and sharing Customer Personal Information therein.

4.3. Duplicate Personal Information

Client and iink acknowledge and agree that each Client and iink provide services to Customer in independent relationships with Customer. Accordingly, Client and iink collect, use, and share Customer information in accordance with their own business needs and privacy policies, which may include Client and iink sharing Personal Information relating to the Customer with each other. Client and iink acknowledge and agree that in certain instances each party will separately own and control the same duplicate Personal Information relating to the Customer. Each Client’s and iink’s ownership of Personal Information relating to the Customer that constitutes the same information does not affect the other party’s ownership or control of the same information.

4.4 Security

Client and iink are each separately responsible for maintaining appropriate physical, technical, and administrative safeguards to protect the security, confidentiality, and integrity of Personal Information it owns or controls and to protect against and respond to any unauthorized access to or acquisition of such information.

4.5 Access to Client Data

During the Term, Client may access any Client Customer Data it has shared or disclosed to iink. iink will provide Client with Client Customer Data in a standard format to the extent technically feasible.

Retained data is subject to the confidentiality provisions of the Agreement.

5. Fees And Taxes

5.1 Fees and Payment

Client agrees to be billed up-front for billable services not yet rendered to client by iink. Billable services are determined upon Service Order submission by Client for the respective service.  If a Mortgage Company loses a check before executing, signing, or providing confirmation of any disbursements, iink will charge a re-issuance fee to the client in the same amount as the initial iink Pro fee. Client agrees to provide payment card information within the iink portal and authorizes iink to process payment for the up-front billable services. Client is solely responsible for the accuracy of the payment information or the payment instructions provided to iink. If a payment is refused or returned, Client agrees to charge any other payment method on file.  If no other payment methods are on file, Client will immediately provide iink a new payment method.  Client will pay undisputed fees for the Services ordered by the Client under the terms as set forth in the applicable Service Supplements. iink reserves the right to  suspend Client’s use of the Service until payment of all undisputed amounts is made. Client cannot withhold, reduce or set-off fees owed.  All payments must be paid in U.S. Dollars.

All fees collected by iink are non-cancellable and fees non-refundable, except if provided in the Agreement.

If Client fails to make any payment when due then, in addition to all other remedies that may be available, iink may (i) charge interest on the past due amount at the rate of 1.95% per month calculated daily and compounded monthly or, if lower, the highest rate permitted under applicable law, which amount shall be in addition to all other fees and charges contained herein; and (ii) suspend Client’s access to the Services until all outstanding amounts are paid in full, inclusive of an accrued interest. Client further consents to the entry of an order for equitable relief or declaratory judgment against Client for the full amount owed hereunder without being required to show the inadequacy of monetary relief or being required to post a bond for its application for such relief.

5.2. Taxes

Fees and other charges imposed will not include taxes, all of which will be for Client’s account. Client is responsible for all taxes, other than iink’s income and payroll taxes. Client must provide to iink any direct pay permits or valid tax-exempt certificates prior to signing a Client Acceptance Form. If iink is required to pay taxes (other than its income and payroll taxes), Client will reimburse iink for those amounts and indemnify iink for any taxes and related costs paid or payable by iink attributable to those taxes.

5.3 Right of Setoff

iink is hereby authorized at any time and from time to time, to the fullest extent permitted by law, to set off and apply any and all deposits of Client or, Customer (as defined in Schedule 3) (general or special, time or demand, provisional or final, in whatever currency) at any time held or otherwise accessible to iink in any accounts against any of and all the fees, liabilities and obligations owing from Client to iink, to the extent such fees, liabilities or obligations are not received within 15 days of the applicable payment due date. Client shall make iink an approved ACH debitor on all such account(s) at all times, and Client shall deliver to iink on a quarterly basis (or more frequently upon request) written evidence that iink remains an approved ACH debitor on such account, whether in the form of a screenshot or otherwise. Customer shall make iink, and Client shall cause Customer to make iink, an approved ACH debitor on all such account(s) at all times, and Client or Customer will deliver to iink on a quarterly basis (or more frequently upon request) written evidence that iink remains an approved ACH debitor on such account, whether in the form of a screenshot or otherwise. Additionally, iink is hereby authorized by Client to, at any time and from time to time, process payments using the card or bank account information on file for any and all fees, liabilities, and obligations owed to iink by Client. The rights of iink under this Section are in addition to other rights and remedies (including other rights of setoff) which iink may have.

5.4 Right to Holdback

In addition, if Client owes iink any fees, liabilities and obligations that remain unpaid for more than 15 days after the payment due date, iink shall have the right to holdback from any funds to be issued to Client (or on Client’s behalf) until iink is repaid in full for all such fees, liabilities and obligations owing from Client to iink. These holdback amounts may be up to100% of the funds to be issued.

5.5 Reimbursement for Fees and Costs

Client shall reimburse iink for all fees, costs and expenses incurred in (a) collecting or seeking reimbursement for any overdue payments and related interest and penalties and (b) enforcing the terms of this Agreement or seeking remedies or relief due to a breach thereof, including, without limitation, all attorneys' fees, legal costs, court costs, collection agency fees and any insurance deductibles (including iink’s fraud insurance deductible).

5.6 Security

In order to secure its payment of the fees, liabilities and obligations that may become due hereunder, Client hereby grants to iink a security interest in and to all of Client’s accounts (as defined in the Uniform Commercial Code as in effect from time to time in the State of Florida (the "UCC")) and all of the Client’s accounts receivable (as defined in the UCC) evidencing any right to payment for goods sold or leased or for services rendered, now existing or subsequently acquired, including the proceeds thereof. Client hereby authorizes iink to file or record any document necessary to perfect, continue, amend, or terminate its security interest in such collateral, including, but not limited to, any financing statements, including amendments, authorized to be filed under the UCC, without signature of Client where permitted by law.

5.7 Use of Proceeds

All funds received by Client must be used by Client solely for the restoration of the associated property, and such work must be completed within thirty (30) days after receipt of such funds. If such work is not otherwise used for the restoration of the associated property, iink shall be authorized to take all actions authorized under Section 5.1 through Section 5.6 above. iink shall also be authorized to request information about accounts receivable directly from Client’s customers.

5.8 Usury

All agreements between Client and iink, whether now existing or hereafter arising and whether written or oral, are expressly limited so that in no contingency or event whatsoever, shall the amount paid, or agreed to be paid, to iink for the use, forbearance or detention of the money to be advanced by iink or otherwise, exceed the maximum amount permissible under applicable law. If from any circumstances whatsoever fulfillment of any provision of this Agreement at the time performance of such provision shall be due, shall involve transcending the limit of validity prescribed by law, then ipso facto, the obligation to be fulfilled shall be reduced to the limit of such validity, and if from any such circumstances iink shall ever receive anything of value as interest or deemed interest by applicable law under this Agreement, any supplement to this Agreement or any other document evidencing, securing or pertaining to the obligations contemplated by this Agreement or any supplement to this Agreement or otherwise an amount that would exceed the highest lawful rate, such amount that would be excessive interest shall be applied to the reduction of the amounts owing under this Agreement or any supplement to this Agreement, and not to the payment of interest. The terms and provisions of this Section 5.8 shall control and supersede every other conflicting provision of all agreements between iink and Client.

5.9 Exclusion of Sequential Liability for All iink Services Rendered

The parties agree that no sequential liability shall be assigned or assumed under this contract. Each party shall be solely responsible for its own performance and any resulting liabilities arising directly from its actions or omissions. Any attempt to assign sequential liability to another party shall be null and void. All of iink’s Clients will be held responsible for payment of services rendered to Client by iink, Corp.

6. TERMINATION

6.1 Termination

(a) The Client may terminate their Account by submitting a cancellation or termination request to support@iinktech.com.

(b) iink may immediately suspend, terminate, discontinue and/or limit the Client’s Account, this Agreement, and access to any of our Services: (i) for any breach or violation by the Client of this Agreement; (ii) by way of requests from law enforcement or any other governmental agencies; (iii) due to the discontinuance, alteration and/or material modification to our Services, or any part thereof; (iv) due to unexpected technical or security issues and/or problems with the Services; (v) due to any extended periods of inactivity of using the Services by Client; (vi) due to any engagement by the Client in any fraudulent or illegal activities; (vii) due to the nonpayment of any associated fees that may be owed by the Client; (viii) due to the Client failing to, within 7 days, to endorse any check in its possession or to deliver any check in its possession to iink; (ix) Client attempts to, or does, deposit any check into another account other than the Account; and/or (x) iink believes, in its sole reasonable discretion, that the activity on the Account represents excessive risk to iink or its parters.

(c) If iink suspends or terminates Client’s Account or access to the Service, iink will use commercially reasonable efforts to provide notice to Client, but will not be required to do so and will not be liable for failure to do so.

(d) Client agrees that any and all terminations, suspensions, discontinuances, and or limitations of access for cause shall be made at the sole discretion of iink and that iink shall not be liable to the Client or any other third party with regards to the termination of the Client’s Account and/or access to any of the Services.

6.2 Effect of Termination

Upon the termination of the Client’s Account and/or this Agreement: (a) Client’s right to use the Service and all iink Confidential Information will end, (b) iink will remove access to the Client’s Account and will have the right to delete all Client Data associated with the Account.

6.3 Survival

Sections 1, 5, 6.3, 7.6, 8, 9, 10, 11, and 12, together will all applicable Schedules hereto, will survive the termination of the Agreement and/or Client’s Account.

7. Warranties

7.1 General

Each party represents and warrants to the other party that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder and this Agreement shall constitute the legal, valid and binding obligation of that party, enforceable against that party in accordance with its terms.

7.2 Client Representations and Warranties

Client represents, warrant, and covenant to iink that Client owns or otherwise have and will have the necessary rights and consents in and relating to the Client Data so that, as received by the iink and used in accordance with this Agreement, they do not and will not infringe, misappropriate or otherwise violate any Intellectual Property Rights, or any privacy or other rights of any third party or violate any applicable law.

7.3 Compliance with Law

Each party warrants its current and continuing compliance with all laws and regulations applicable to it in connection with: (a) in the case of iink, the operation of iink’s business as it relates to the Service, and (b) in the case of Client, the Client Data and Client’s use of the Service.

7.4 Good Industry Practices

iink warrants that it will use commercially reasonable efforts to provide the Service with the degree of skill and care reasonably expected from a skilled and experienced supplier of services substantially similar to the nature and complexity of the Service.

7.5 Remedy

Client’s sole and exclusive remedies and iink’s entire liability for breach of the warranty under Section 7.2 will be for iink to use commercially reasonable efforts to re-perform of the non-conforming Service, and if iink fails to do so, Client may terminate the order for the affected Service

7.6 Warranty Exclusions

(a) THE CLIENT HEREIN EXPRESSLY ACKNOWLEDGES AND AGREES THAT THE USE OF THE SERVICES ARE AT THE SOLE RISK OF THE CLIENT. THE SERVICES SHALL BE PROVIDED ON AN "AS IS" AND/OR "AS AVAILABLE" BASIS. IINK AND THEIR SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND WHETHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. (b) IINK AND THEIR SUBSIDIARIES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTIES THAT (i) THE SERVICES WILL MEET THE CLIENTS REQUIREMENTS; (ii) THE SERVICES SHALL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THAT SUCH RESULTS WHICH MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, ANY INFORMATION OR OTHER MATERIAL WHICH MAY BE PURCHASED OR OBTAINED BY THE CLIENT THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; AND (v) THAT ANY SUCH ERRORS CONTAINED IN THE SERVICES SHALL BE CORRECTED. (c) ANY INFORMATION OR MATERIAL DOWNLOADED OR OTHERWISE OBTAINED BY WAY OF THE SERVICES SHALL BE ACCESSED BY YOUR SOLE DISCRETION AND SOLE RISK, AND AS SUCH YOU SHALL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION WITH RESPECT TO ANY DAMAGE TO YOUR COMPUTER AND/OR INTERNET ACCESS, DOWNLOADING AND/OR DISPLAYING, OR FOR ANY LOSS OF DATA THAT COULD RESULT FROM THE DOWNLOAD OF ANY SUCH INFORMATION OR MATERIAL. (d) NO ADVICE AND/OR INFORMATION, DESPITE WHETHER WRITTEN OR ORAL, THAT MAY BE OBTAINED BY YOU FROM IINK OR BY WAY OF OR FROM THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS. (e) THE WARRANTIES IN SECTIONS 7.2 AND 7.4 WILL NOT APPLY IF: (i) THE SERVICE IS NOT USED IN ACCORDANCE WITH THE AGREEMENT; (ii) ANY NON-CONFORMITY IS CAUSED BY CLIENT, OR BY ANY PRODUCT OR SERVICE NOT PROVIDED BY IINK, OR (iii)THE SERVICE WAS PROVIDED FOR NO FEE. (f) THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8. Indemnification

8.1 Claims Brought Against Client

(a) iink will defend and indemnify Client against claims brought against Client and its Affiliates by any third party alleging that (i) Client’s and its Affiliates’ use of the Service infringes or misappropriates a patent claim, copyright, or trade secret right. iink will indemnify Client against all damages finally awarded against Client (or the amount of any settlement iink enters into) with respect to these claims. (b) iink’s obligations under Section 8.1 will not apply if the claim results from (i) Client’s breach of this Agreement, (ii) use of the Service in conjunction with any product or service not provided by iink, or (iii) use of the Service provided for no fee.

8.2 Claims Brought Against iink

Client will defend and indemnify iink against any and all claims brought against iink, its Affiliates and subcontractors by any third party, including Customer, related to: (i) any services provided by Client to Customer; (ii) Client Data; (iii) the use of the Services by Client; and (iv) any breach of the terms of this Agreement by Client.

Client will indemnify iink against all damages finally awarded against iink, its Affiliates and subcontractors (or the amount of any settlement Client enters into) with respect to these claims.

8.3 Third Party Claim Procedure

(a) The party against whom a third-party claim is brought will timely notify the other party in writing of any claim, reasonably cooperate in the defense and may appear (at its own expense) through counsel reasonably acceptable to the party providing the defense. (b) The party that is obligated to defend a claim will have the right to fully control the defense. (c) Any settlement of a claim will not include a financial or specific performance obligation on, or admission of liability by, the party against whom the claim is brought.

8.4 Exclusive Remedy

The provisions of Section 8 state the sole, exclusive, and entire liability of the parties, their Affiliates, Business Partners and subcontractors to the other party, and is the other party’s sole remedy, with respect to covered third party claims and to the infringement or misappropriation of third party intellectual property rights.

9. Limitation Of Liability

9.1 Unlimited Liability

Neither party will exclude or limit its liability for damages resulting from: (a) the parties’ obligations under Section 8.1(a) and 8.2, (b) any failure by Client to pay any fees due under the Agreement.

9.2 Liability Cap

SUBJECT TO SECTIONS 9.1 AND 9.3, IINK’S MAXIMUM AGGREGATE LIABILITY (OR ITS RESPECTIVE AFFILIATES OR IINK’S SUBCONTRACTORS) TO CLIENT OR ANY OTHER PERSON OR ENTITY FOR ANY OR ALL EVENTS (OR SERIES OF CONNECTED EVENTS) RELATING TO THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY CLIENT FOR THE SERVICES DIRECTLY CAUSING THE DAMAGE.

9.3. Exclusion of Damages

SUBJECT TO SECTION 9.1: (a) NEITHER PARTY (NOR ITS RESPECTIVE AFFILIATES OR IINK’S SUBCONTRACTORS) WILL BE LIABLE TO THE OTHER PARTY FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES, LOSS OF GOOD WILL OR BUSINESS PROFITS, WORK STOPPAGE OR FOR EXEMPLARY OR PUNITIVE DAMAGES, AND (b) IINK WILL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY ANY SERVICE PROVIDED FOR NO FEE.

9.4 Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

10. Intellectual Property Rights

10.1 iink Ownership

iink, their Affiliates or licensors own all intellectual property rights in and to the Service, related knowledge or processes, and any derivative works of them. All rights not expressly granted to Client are reserved to iink and its licensors.

10.2 Client Ownership

Client retains all rights in and related to the Client Data. Client and its Affiliates or licensors shall own all intellectual property rights in and to any intellectual property developed by Client and its Affiliates independent of the Service, regardless of whether such developed intellectual property may be used with the Service.

10.3 Non-Assertion of Rights

Client covenants, on behalf of itself and its successors and assigns, not to assert against iink, their Affiliates or licensors, any rights, or any claims of any rights, in any Services or Materials.

11. Confidentiality

11.1 Use of Confidential Information

(a) The receiving party will protect all Confidential Information of the disclosing party as strictly confidential to the same extent it protects its own Confidential Information, and not less than a reasonable standard of care. Receiving party will not disclose any Confidential Information of the disclosing party to any person other than its personnel, representatives or Authorized Users whose access is necessary to enable it to exercise its rights or perform its obligations under the Agreement and who are under obligations of confidentiality substantially similar to those in Section 11. Client will not disclose the Agreement or the pricing to any third party. (b) Confidential Information of either party disclosed prior to execution of the Agreement will be subject to Section 11. (c) In the event of legal proceedings relating to the Confidential Information, the receiving party will cooperate with the disclosing party and comply with applicable law (all at disclosing party’s expense) with respect to handling of the Confidential Information.

11.2 Exceptions

The restrictions on use or disclosure of Confidential Information will not apply to any Confidential Information that: (a) is independently developed by the receiving party without reference to the disclosing party’s Confidential Information, (b) is generally available to the public without breach of the Agreement by the receiving party, or (c) at the time of disclosure, was known to the receiving party free of confidentiality restrictions, or (d) the disclosing party agrees in writing is free of confidentiality restrictions.

11.3 Publicity

Neither party will use the name of the other party in publicity activities without the prior written consent of the other. Client agrees that iink may share information on Client with its Affiliates for internal marketing and other internal business purposes and that it has secured appropriate authorizations to share Client employee contact information with iink in order for iink to provide and support the Service.

12. Miscellaneous

12.1 Severability

If any provision of the Agreement is held to be invalid or unenforceable, the invalidity or unenforceability will not affect the other provisions of the Agreement.

12.2 No Waiver

A waiver of any breach of the Agreement is not deemed a waiver of any other breach.

12.3 Regulatory Matters

iink Confidential Information is subject to export control laws of the United States. Client will not submit iink Confidential Information to any government agency for licensing consideration or other regulatory approval, and will not export iink Confidential Information to countries, persons or entities if prohibited by export laws.

12.4 Notices

All notices will be in writing and given when delivered to the Client at the email address in their Account, and to iink at support@iinktech.com.

12.5 Assignment

Without iink’s prior written consent, Client may not assign or transfer the Agreement (or any of its rights or obligations) to any party.

12.6 Subcontracting

iink may subcontract parts of the Services to third parties. iink is responsible for breaches of the Agreement caused by its subcontractors.

12.7 Relationship of the Parties

The parties are independent contractors, and no partnership, franchise, joint venture, agency, fiduciary or employment relationship between the parties is created by the Agreement.

12.8 Force Majeure

Any delay in performance (other than for the payment of amounts due) caused by conditions beyond the reasonable control of the performing party is not a breach of the Agreement. The time for performance will be extended for a period equal to the duration of the conditions preventing performance. To the extent possible, the party affected by the event of Force Majeure shall use commercially reasonable efforts to mitigate the effects thereof upon its performance of the Agreement and to fulfill its obligations under the Agreement.

12.9 Governing Law

Subject to Section 12.10, the Agreement and any claims relating to its subject matter shall be governed by and construed in accordance with the internal laws of the State of Florida without giving effect to any choice or conflict of law provision or rule (whether of the State of Florida or any other jurisdiction).

Any legal suit, action or proceeding arising out of, or related to, this Agreement shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida in each case located in the City of Tampa although we retain the right to bring any suit, action or proceeding against you for breach of these Website Terms of Use in your country of residence or any other relevant country. Client waives any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts and agrees not to pursue such objections.

12.10 Mandatory Arbitration; Class Action Waiver

Client agrees that, except as otherwise stated herein with regard to iink’s rights or remedies for non-payment by Client, all claims or disputes arising out of or relating to the Services will be decided by an arbitrator through arbitration and not by a judge or jury ("Arbitration Agreement"). This Arbitration Agreement is governed by the Federal Arbitration Act ("FAA") and evidences a transaction involving commerce. The arbitration will be conducted before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), which are available at www.adr.org. The arbitrator’s fees and the costs will be shared equally by the parties, unless prohibited by law. Parties are responsible for their own attorneys’ fees. The arbitration proceeding will take place in Tampa, Florida, unless otherwise agreed. A court of competent jurisdiction will have the authority to enter judgment on the arbitrator’s decision and award. The parties agree to bring any claim or dispute in arbitration on an individual basis only, and not as a class or collective action, and there will be no right or authority for any claim or dispute to be brought, heard or arbitrated as a class or collective action ("Class Action Waiver"). Regardless of anything herein and/or the applicable AAA Rules, the interpretation, applicability or enforceability of the Class Action Waiver and/or the arbitrability of a claim or dispute may only be determined by an arbitrator. The following claims are excluded from this Arbitration Agreement: (a) claims in small claims court; (b) claims to enforce or to prevent the actual or threatened violation of a party’s intellectual property rights; (c) claims for temporary relief in connection with an arbitrable controversy; and (d) claims that are non-arbitrable per the applicable federal statute.

12.11 Waiver Of Jury Trial

CLIENT WAIVES ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND RECEIVE A JUDGE OR JURY TRIAL. Client and iink are instead electing to have claims and disputes resolved by arbitration, except as specified in Section 12.10 above. There is no judge or jury in arbitration, and court review of an arbitration award is limited.

12.12 Electronic Transactions, Signatures, and Delivery of Documents

The Client agrees to conduct transactions electronically. Client certifies that they have access to an internet connection and an electronic device with a modern browser, equipped with ability to view PDF documents or other electronic attachments, and that they have access to an email account through which the Client can view, download, and retain electronic documents and electronically delivered documents as necessary. The Client consents to the use of electronic signatures in connection with the iink Services and to receive all notices and copies of documents, including those that are legally required to be delivered to the Client in writing at the email address you have provided to iink, which Client will keep updated.

12.13 Re-issuance of Check

If a Mortgage Company loses a check before executing, signing, or providing confirmation of any disbursements, iink will charge a re-issuance fee to the client in the same amount as the initial iink Pro fee.

12.14 Entire Agreement

The Agreement constitutes the complete and exclusive statement of the agreement between iink and Client in connection with the parties’ business relationship related to the subject matter of the Agreement. All previous representations, discussions, and writings (including any confidentiality agreements) are merged in and superseded by the Agreement and the parties disclaim any reliance on them. This Agreement may be modified by iink from time to time in iink’s sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Services. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted.


iink Professional

1. Definitions

“Agreement” means this Schedule 1 and the General Terms and Conditions (“GTC”) to which this Schedule is attached.

“Client’” means the party to whom an account is registered with iink.

“Customer” means the parties identified as the Customer when the Client places a Service Order under these Terms and as further defined in the GTC.

“iink” is iink Corp., a company duly organized and validly existing, located at 400 N. Ashley Dr. Ste. 2600-D, Tampa, Florida 33602

“Service Order” is defined as set forth in Section 2.

Terms not defined in this Schedule 1 shall have the meaning given to them in the GTC.

2. Professional Services

The iink Professional Service (“Professional Services”) consists of insurance check endorsement processing for all Clients and authorized parties to the insurance claim including mortgage companies. Insurance claim payment requests are also made to insurance carriers at the Client’s and Customer’s direction. Use of the iink Payments Service is included at no extra charge after the mortgage company has endorsed the check.

The Client will begin an order for the Professional Services (“Service Order”) by uploading required claim documents in the iink Portal when logged in at: https://app.iinktech.com and following the instructions provided therein. 

The Client will provide iink the relevant Client Customer Data, including Customer name, address, phone number, email address, insurance adjuster worksheet or scope of loss, and executed agreement between Client and Customer to perform services relating to Customer’s insurance claim, and additional documents as required by the mortgage company. As additionally set forth in the GTC, Client will provide and is responsible for providing Customer all required and necessary notices and disclosures with respect to Client’s collection, use, handling, and disclosure of Client Customer Data, including in order to provide Client Customer Data to iink. Client grants to iink (including its Affiliates and subcontractors) a nonexclusive right to use and process Client Customer Data solely for offering Customer the Professional Services or related services and to the extent necessary to provide and support the Professional Service.

Upon receiving a Client request for the Professional Service, iink will offer the Professional Service to Customer. Customer may agree to participate in the payment to the Client using the Professional Service by separately providing iink the relevant and requested information relating to its insurance claim and agreeing to certain terms and conditions. Any such information that Customer provides to iink shall be iink Customer Data. iink will provide payments to Client in connection with its services to Customer if Customer meets its respective Payments Service requirements. iink does not guarantee that Customer will agree to participate in the Professional Service or that Customer will meet the Professional Service requirements.

The Customer will be asked to complete a Mortgage Verification form (“Mortgage Verification”) via email and web link or phone request to provide and confirm mortgage company name, mortgage loan number, claim number, property address, mortgage payment history and last four digits of the Insured's (primary borrower) social security number. Mortgage Verifications may also be completed through an authorized third party provider during the process.

The Client verifies their agreement(s) with the Customer and has complete authority to enter into this an agreement with iink pursuant to these Terms. All information provided by the Client and Customer is hereby deemed complete and accurate. Any information provided by any party that is deemed incomplete and/or inaccurate by iink, or any party to the claim, will be the responsibility of the Client, Customer, and/or any authorized third party of the Client and Customer to obtain/update as requested by iink.

Service for each endorsement request will begin upon execution of iink third-party letter of authorization and disbursement authorization by the Customer. For additional endorsement requests on an already-registered claim, service for each subsequent endorsement request will begin upon submission of the additional check details.

iink will refer third-party professional services to assist with insurance claim negotiations upon request. Use of these services will require a separate agreement of terms between Client, the Customer and/or the third-party, including an additional fee or service charge. Use of these services is entirely optional with the Client and Customer claiming full responsibility of determining the ultimate benefit of using the service.

3. Inactivity Notice

Endorsement requests that are registered with iink and become inactive after 30 days of being incomplete or without response from one or multiple payees will be suspended from iink’s standard servicing protocol until the Client, Customer, or authorized third-party provides information and/or documentation required to proceed with the endorsement processing. All parties will be notified of inactive endorsement requests after iink has made all reasonable efforts to make contact regarding missing and/or required information and/or documents.

4. Representations And Warranties

The Client and Customer confirms that they are not subject to any contractual commitments or legal obligations that would prevent the recovery of the fully endorsed insurance proceeds. The Customer further confirms that the subject property does not have any active, or pending, liens for any reason.

5. Privacy Notice

In addition the provisions provided in the Privacy Policy found at https://iink.com/terms/privacy-policy the Client and Customer understand that the information provided will be used for purposes including, but not limited to; corresponding, verifying, processing, negotiating, endorsing, informing and collecting payment of insurance proceeds with, and between, all parties listed as payees on the insurance claim check, their affiliates, and/or any other authorized affiliates of iink. iink reserves the right to refuse service based on review of the information provided.

The Customer will be required to complete a separate Mortgage Verification process with iink pertinent to the endorsement and verification procedures of their mortgage company. Mortgage Verification information will only be shared with the Customer’s mortgage company.

6. Exclusion Of Warranty Of Services

iink makes no warranties, express or implied, pertaining to the Professional Services offered including, but not limited to; (a) Length of the endorsement process as demonstrated by the mortgage company, investor, or their affiliates whether in part or as a whole; (b) Accuracy of any third-party information provided to, and by, iink; (c) Claim checks needing to be re-issued due to expiration, inaccuracies or incorrect information for any reason; (d) Mortgage company or investor guidelines pursuant to monitoring the claim and endorsement; (e) Disbursements made, or not made, by the mortgage company due to claim monitoring investor guidelines or decisions; (f) services provided by any company or independent contractor that is a customer of iink; (g) services offered by an affiliate third-party or additional payee on the insurance claim check.

iink will not be held liable for any additional damages that may occur to the subject property during, or after, the claims and endorsement processes for any reason. Furthermore, iink will not be held liable for any hardships sustained by the Client or Customer during, or after, the claims and endorsement processes including, but not limited to, pain and suffering, personal loss, employment and/or business-related loss, or financial detriment.

7. Authority

Customer(s) have the authority to supersede executed authorizations between all parties which prohibits iink from continuing service. If this occurs, all parties will receive a suspension of Service notification. Any representations, statements, or other communications not written in the Agreement are agreed to be immaterial, not relied on by either party, and do not survive the execution of the Agreement.

8. Fees

The Client agrees to pay a processing fee to iink of 1.00% of the check amount(s) processed, with a minimum fee of $25 dollars per check, and a maximum fee charged of $299 dollars per check. . The Client and Customer agree that any fees paid to iink will be considered separate from the insurance proceeds as required by law.

iink is hereby authorized at any time and from time to time, to the fullest extent permitted by law, to set off and apply any and all deposits of Client (general or special, time or demand, provisional or final, in whatever currency) at any time held or otherwise accessible to iink against any of and all the fees, liabilities and obligations owing from Client to iink. Client shall reimburse iink for all costs incurred by iink  in collecting any late payments or interest, including attorneys’ fees, court costs and collection agency fees. The rights of iink under this Section are in addition to other rights and remedies (including other rights of setoff) which iink may have.

If a Mortgage Company loses a check before executing, signing, or providing confirmation of any disbursements, iink will charge a re-issuance fee to the client in the same amount as the initial iink Pro fee.

9. Billing

Client agrees to be billed up-front for billable services not yet rendered to client by iink. Billable services are determined upon Service Order submission by Client for the respective service. Client agrees to provide payment card or banking information within the iink portal and allows iink to process payment for the up-front billable servicesAdditionally, iink is hereby authorized by Client to, at any time and from time to time, process payment using such card or banking information on file for any and all fees, liabilities, and obligations owed to iink by Client. 

Client may request monthly-billing from iink, and iinkmay allow the client to be invoiced monthly in lieu of up-front billing for service orders at iink’s sole discrection. Clients who are offered monthly billing must supply iink with valid bank account information for payments and must agree to allow automatic payment of invoices via the supplied bank account. Clients will be invoiced for all Service Order submissions by the Client in the billing month. Invoices for monthly activity will have Net 15 payment terms. Due to the time-sensitive nature of resolving these matters, and immediate implementation of expertise and/or resources being provided by iink pursuant to the services offered, the Client agrees that there is no right of rescission period included in this Agreement. Processing fees will be assessed regardless of how completion of services are achieved, by any party, including the Client and Customer. Unpaid invoices will result in suspension of service and placed for further collection, which could affect Client’s credit standing.

10. Suspension Of Service

If a Client’s service is suspended for non-payment, the Client will not be able to submit any new Service Order requests or add-on any services to their active Service Order requests. Active Service Orders will be completed and invoiced as per standard servicing guidelines.

11. Cancellation Of Service

If a Client chooses to cancel a Service Order they may do so by submitting a written request to support@iinktech.com, their active Service Order will be completed and invoiced per standard servicing procedures. After the Customer has confirmed and agreed to the terms of the Service Order, the Service Order cannot be canceled.

12. Changes To Terms

iink may make changes to these Terms from time to time in their sole discretion and will provide the Client notice of the change of Terms in accordance with the notice provisions in the General Terms and Conditions. Any changes made after a Service Order is requested will not apply to that Service Order.


iink Payments

1. Definitions

“Agreement” means this Schedule 2 and the General Terms and Conditions (“GTC”) to which this Schedule is attached.

“Client” means the party to whom an account is registered with iink.

“Customer” means the parties identified as the Customer when the Client places a Service Order.

“iink” is iink Corp., a company duly organized and validly existing, located at 400 N. Ashley Dr. Ste. 2600-D, Tampa, Florida 33602.

“Service Order” is defined as set forth in Section 2.

Terms not defined in this Schedule 2 shall have the meaning given to them in the GTC.

2. Payment Services

The iink Payments Service consists of multi-party check endorsement processing and direction of deposit services for mobile applications using digital signatures (collectively, the “Payments Service”).

The Client will begin an order for the Payments Services (“Service Order”) by uploading required claim documents in the iink Portal when logged in at https://app.iinktech.com and following the instructions provided therein. 

The Client will provide iink the relevant Client Customer Data, including Customer name, address, phone number, email address, insurance adjuster worksheet or scope of loss, and executed agreement between Client and Customer to perform services relating to Customer’s insurance claim. As additionally set forth in the GTC, Client will provide and is responsible for providing Customer all required and necessary notices and disclosures with respect to Client’s collection, use, handling, and disclosure of Client Customer Data, including in order to provide Client Customer Data to iink. Client grants to iink (including its Affiliates and subcontractors) a nonexclusive right to use and process Client Customer Data solely for offering Customer the Payments Services or related services and to the extent necessary to provide and support the Payments Service.

The Client will be asked to upload a picture of the check in the iink Portal when logged in at: app.iinktech.com/portal and following the instructions provided therein or clicking the web link provided by iink via email. Once the details of the check have been verified the Client will confirm the direction of depository account details and endorse the check using e-signature technology.

Upon receiving a Client request for the Payments Service, iink will offer the Payments Service to Customer. Customer may agree to participate in the payment to the Client using the Payments Service by separately providing iink the relevant and requested information relating to its insurance claim and agreeing to certain terms and conditions. Any such information that Customer provides to iink shall be iink Customer Data. iink will provide payments to Client in connection with its services to Customer if Customer meets its respective Payments Service requirements. iink does not guarantee that Customer will agree to participate in the Payments Service or that Customer will meet the Payments Service requirements.

The Client, in agreement with the Customer, will have the ability to direct payment to one, or multiple, recipients of the multi-party check funds by electronic deposit through an Automated Clearing House (“ACH”). Payments Service payments through ACH, push-to-card debit, and all banking services are provided in partnership through Avidia Bank, member FDIC. Client must open an account at Avidia Bank in order to receive the Payment Services (the “Client Avidia Account”).

All checks submitted to the Payments Service will be verified internally for validation and security purposes. If the check includes a mortgage company, or other entity that may not participate in the service, the check will be referred to the iink Professional Service for processing, see (see Schedule 1).

The Client verifies their agreement(s) with the other endorsees and has complete authority to enter into this an agreement with iink pursuant to this Agreement. All information provided by the Client and Customer is hereby deemed complete and accurate. Any information provided by any party that is deemed incomplete and/or inaccurate by iink, or any party to the claim, will be the responsibility of the Client and Customer to obtain/update as requested by iink.

3. Inactivity Notice

Endorsement requests that are registered with iink and become inactive after 30 days of being incomplete or without response from one or multiple payees will be suspended from iink’s standard servicing protocol until the Client or authorized third-party provides information and/or documentation required to proceed with the endorsement processing. All parties will be notified of inactive endorsement requests after iink has made all reasonable efforts to make contact regarding missing and/or required information and/or documents.

4. Representations And Warranties

The Client confirms that they are not subject to any contractual commitments or legal obligations that would prevent the recovery of the fully endorsed proceeds.

5. Privacy Notice

In addition the provisions provided in the Privacy Policy found at https://iink.com/terms/privacy-policy the Client an understands that the information provided will be used for purposes including, but not limited to; corresponding, verifying, processing, negotiating, endorsing, informing and collecting payment of multi party check proceeds with, and between, all parties listed as payees on the multi-party check, their affiliates, and/or any other authorized affiliates of iink. iink reserves the right to refuse service based on review of the information provided.

6. Exclusion Of Warranty Of Services

iink makes no warranties, express or implied, pertaining to the Payments Services offered including, but not limited to; (a) length of the endorsement process; (b) accuracy of any third-party information provided to, and by, iink; (c) checks needing to be re-issued due to expiration, inaccuracies or incorrect information for any reason; (d) services provided by any company or independent contractor that is a customer of iink; (e) services offered by an affiliate third-party or additional payee on the multi-party check.

7. Fees

The Client agrees to pay a processing fee of ten dollars or $10.00 (“Processing Fee”) to iink for each multi-party check endorsed through the Payments Service. The Processing Fee will not be charged to iink Payments Clients who are using the Payments feature as part of the iink Professional Service.

If in addition, the Client chooses to use the Advance Funding Services of iink, additional fees and terms will apply as set forth in Schedule 3.

iink is hereby authorized at any time and from time to time, to the fullest extent permitted by law, to set off and apply any and all deposits of Client (general or special, time or demand, provisional or final, in whatever currency) at any time held or otherwise accessible to iink against any of and all the fees, liabilities and obligations owing from Client to iink. Additionally, iink is hereby authorized by Client to, at any time and from time to time, process payment card payments using the card information on file for any and all fees, liabilities, and obligations owed to iink by Client. The Client agrees to repay iink for all fees incurred related to performing collection efforts, whether internally or externally through a 3rd party collections or legal agency. The rights of iink under this Section are in addition to other rights and remedies (including other rights of setoff) which iink may have.

If a Mortgage Company loses a check before executing, signing, or providing confirmation of any disbursements, iink will charge a re-issuance fee to the client in the same amount as the initial iink fee.

8. Billing

Client agrees to be billed up-front for billable services not yet rendered to client by iink. Billable services are determined upon Service Order submission by Client for the respective service. Client agrees to provide payment card information within the iink portal and allows iink to process payment for the up-front billable services. Additionally, iink is hereby authorized by Client to, at any time and from time to time, process payment card payments using the card information on file for any and all fees, liabilities, and obligations owed to iink by Client. Due to the time-sensitive nature of resolving these matters, and immediate implementation of expertise and/or resources being provided by iink pursuant to the services offered, the Client agrees that there is no right of rescission period included in this Agreement. Processing fees will be assessed regardless of how completion of services are achieved, by any party, including the Client and Customer. Unpaid invoices will result in suspension of service and placed for further collection, which could affect Client’s credit standing.

9. Suspension Of Service

If a Client’s service is suspended for non-payment, the Client will not be able to submit any new Service Order requests or add-on any services to their active Service Order requests. Active Service Orders will be completed and invoiced as per standard servicing guidelines.

10. Cancellation Of Service

If a client chooses to cancel a Service Order they may do so by submitting a written request to support@iinktech.com, their active Service Order will be completed and invoiced per standard servicing procedures. After the Customer has confirmed and agreed to the terms of the Service Order, the Service Order cannot be cancelled.

11. Changes To Terms

iink may make changes to this Agreement from time to time in their sole discretion and will provide Client notice of the change of terms in accordance with the notice provisions in the General Terms and Conditions. Any changes made after a Service Order is requested will not apply to that Service Order.


iink Advanced Funding Service Terms

1. Definitions

“Agreement” means this Schedule 3 and the General Terms and Conditions (“GTC”) to which this Schedule is attached.

“Client’” means the party to whom an account is registered with iink.

“iink” is iink Corp., a company duly organized and validly existing, located at 400 N. Ashley Dr. Ste. 2600-D, Tampa, Florida 33602.

“Customer” means the parties identified as the Customer when the Client places a Service Order.

“Service Order” is defined as set forth in Section 2.

Terms not defined in these Advance Funding Service Terms shall have the meaning given to them in the GTC.

2. Advance Funding Services

iink’s advancing funding services (“Advance Funding Service”) enable iink to advance funds to Client for separate services Client is providing or will provide to Customer in connection with Customer’s insurance claim, subject to Customer’s agreement to such funds advancement and Customer meeting certain criteria. The Advance Funding Service is available to Clients engaged in either iink Professional Services or iink Payments Services.

3. Requirements

3.1 Client Request for Advance Funding Service

In order to receive advanced funding through the Advance Funding Service, Client must request that iink offer Customer the Advance Funding Service. In so doing, Client will provide iink the relevant Client Customer Data, including Customer name, address, phone number, email address, insurance adjuster worksheet or scope of loss, and executed agreement between Client and Customer to perform services relating to Customer’s insurance claim. As additionally set forth in the GTC, Client will provide and is responsible for providing Customer all required and necessary notices and disclosures with respect to Client’s collection, use, handling, and disclosure of Client Customer Data, including in order to provide Client Customer Data to iink. Client grants to iink (including its Affiliates and subcontractors) a nonexclusive right to use and process Client Customer Data solely for offering Customer the Advance Funding Services or related services and to the extent necessary to provide and support the Advance Funding Service.

3.2 Customer’s Engagement of Advance Funding Service

Upon receiving a Client request for the Advance Funding Service, iink will offer the Advance Funding Service to Customer. Customer may agree to participate in advanced funding for Client’s Services by separately providing iink the relevant and requested information relating to its insurance claim and agreeing to certain terms and conditions. Any such information that Customer provides to iink shall be iink Customer Data. iink will provide advance funding to Client in connection with its services to Customer if Customer meets its respective Advance Funding Service requirements. iink does not guarantee that Customer will agree to participate in the Advance Funding Service or that Customer will meet the Advance Funding Service requirements.

3.3 Client Avidia Bank Account

Client must open an account at Avidia Bank in order to receive the Advance Funding Service (the “Client Avidia Account”). If Customer agrees and meets the Advance Funding Service requirements, iink will deposit the requested advance funds less a five to twenty percent (5-20%) holdback (the “Holdback”), as determined by iink in its sole discretion, in the Client Avidia Account when iink deems those funds available. When Customer’s insurance claims check is fully funded, iink will deposit the Holdback less service fees into the Client Avidia Account.

The Client verifies their agreement(s) with the Customer(s) and has complete authority to enter into this an agreement with iink pursuant to this Agreement. Client’s agreement(s) with the Customers shall (i) name iink as an express third party beneficiary, (ii) include a covenant pursuant to which Customer agrees that iink is authorized at any time and from time to time, to the fullest extent permitted by law, to set off and apply any and all deposits of Customer at any time held or otherwise accessible to iink in any accounts against any of and all the fees, liabilities and obligations owing from Customer to iink, to the extent such fees, liabilities or obligations are not received within 15 days of the applicable payment due date, and (iii) include a covenant pursuant to which Customer designates iink as an approved ACH debitor on all such account(s) at all times, and Customer will shall deliver to iink on a quarterly basis (or more frequently upon request) written evidence that iink remains an approved ACH debitor on such account, whether in the form of a screenshot or otherwise.

All information provided by the Client and Customer is hereby deemed complete and accurate. Any information provided by any party that is deemed incomplete and/or inaccurate by iink, or any party to the claim, will be the responsibility of the Client, Customer, and/or Authorized Third Party to obtain/update as requested by iink.

Service payments through ACH, push-to-card debit, and all banking services are provided in partnership through Avidia Bank, member FDIC.

4. Fees

4.1 Using iink Advance Funding Service with iink Professional Services

The Client agrees to pay a processing fee to iink as a percentage of the check amount(s) processed for Client, with a minimum fee of $25 dollars per Advance Funding Service request. The iink Professional and iink Payments service(s) will be included at no additional charge when using iink NOW.

4.2 Using iink Advance Funding Service with iink Payments

When no mortgage endorsement is required, iink Payments may be used as a standalone service with iink Advance Funding Service.

4.3 Charges and Fees

All fees are due and payable in accordance with Sections 4 and 5. If advanced funding with respect to a particular Customer remains outstanding for more than 30 days following the first date that iink provides such advanced funding, in addition to all other remedies that may be available, iink may charge a monthly fee (the “Additional Fee”) equal to the product of the outstanding amount of advanced funding as of the last day of the applicable month, multiplied by 1.95%, which amount shall be in addition to all other fees and penalties contained herein. The Additional Fee shall be due and payable on the last day of each month that any portion of the advanced funding remains outstanding. Client shall reimburse iink for all costs incurred by iink Payments in collecting any late payments or interest, including attorneys’ fees, court costs and collection agency fees. Upon delivery of written notice, iink may, in its sole discretion, modify the method of calculation or reduce the interest rate of the Additional Fee, or terminate or suspend the Additional Fee.

5. Billing

Invoices will be generated automatically at the beginning of Advance Funding Service. Once iink determines that the funds from a Customer’s insurance claim check are available, iink will make funds available in the Client's and/or User's iink account at Avidia Bank less the Holdback. Funds can subsequently be transferred via ACH to an external business bank account owned by the User. When the check is returned from the mortgage company with their endorsement it will be uploaded by the User or recipient using iink Payments. The balance of the five to twenty percent (5-20%) holdback less the applicable service fee(s) is returned to the Client's and/or User's iink account within 24 hours.

6. Cancellation Of Service

If a Client chooses to cancel a Service Order they may do so by submitting a written request to support@iinktech.com. Their active Service Order will be completed and invoiced per standard servicing procedures. After the Customer has confirmed and agreed to the terms of the Service Order, the Service Order cannot be canceled.

7. Changes To Terms

iink may make changes to these Terms from time to time in their sole discretion and will provide Client notice of the change of Terms in accordance with the notice provisions in the General Terms and Conditions. Any changes made after a Service Order is requested will not apply to that Service Order.
